Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Write2SQL ("Company," "we," "us," or "our"). By accessing or using the Write2SQL platform, API, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Service.

1. Eligibility and Account Requirements

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that all information provided is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials. You accept full liability for all activities conducted under your account, whether or not authorized by you. We reserve the right to suspend or terminate any account at our sole discretion without prior notice or liability.

2. Service Description and Scope

Write2SQL provides AI-powered SQL query generation, database connectivity, query execution, and related tools. The Service is provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, completeness, or suitability of any SQL queries generated, results returned, or actions performed through the Service. You acknowledge that AI-generated queries may contain errors, produce unexpected results, or cause data loss or corruption.

3. Acceptable Use

You agree not to:

• Use the Service to access databases without proper authorization from the database owner
• Attempt to circumvent security features, rate limits, credit limits, or access controls
• Use the Service to perform unauthorized data extraction, scraping, or exfiltration
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service for any illegal, fraudulent, or harmful purpose
• Share, transfer, or sell your account or API keys to third parties
• Submit prompts designed to generate malicious, destructive, or harmful SQL
• Overload, disrupt, or interfere with the Service or its infrastructure
• Use automated means to access the Service except through our official API

Violation of these terms may result in immediate account termination without refund and may be reported to relevant authorities.

4. Credits, Billing, and Payment

Certain features require credits, which are consumed upon use. Credit consumption is final and non-reversible once a query has been generated or executed. Purchased credits and subscriptions are non-refundable except as explicitly stated in our Refund Policy. Subscription fees are billed in advance on a recurring basis (monthly or yearly) according to your selected plan. We reserve the right to change pricing at any time with 30 days' notice. Failure to pay may result in service suspension or termination. All prices are in USD unless otherwise specified. You are responsible for all applicable taxes.

5. Database Connections and Data

You are solely responsible for the database credentials and connection details you provide. We encrypt stored credentials using AES-256 encryption; however, we do not guarantee absolute security. We do not access, read, copy, store, or retain the contents of your databases or query results beyond what is technically necessary to provide the Service during your active session. You bear full responsibility for ensuring you have the legal right to connect to and query any database you configure in the Service.

6. Pro Mode and Destructive Queries

Pro Mode allows execution of INSERT, UPDATE, DELETE, and other write operations. By enabling Pro Mode, you acknowledge and accept that write operations can cause irreversible data modification or loss. We bear absolutely no responsibility for any data loss, corruption, or damage resulting from queries executed through Pro Mode or any other feature of the Service. You are solely responsible for maintaining adequate backups of your data.

7. API Access

API access is subject to rate limits and usage quotas as defined by your subscription plan. API keys are confidential and must not be shared, published, or embedded in client-side code. We reserve the right to revoke API keys and suspend API access at any time without notice if we detect abuse, excessive usage, or violations of these Terms. You are liable for all usage incurred through your API keys.

8. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and documentation, is the exclusive property of Write2SQL and is protected by intellectual property laws. SQL queries generated by the Service for you are yours to use, but you grant us a non-exclusive, royalty-free license to use anonymized query patterns for the purpose of improving the Service. You retain all rights to your data and database contents.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED SQL QUERIES OR RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WRITE2SQL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, DATABASE CORRUPTION, UNAUTHORIZED ACCESS, OR SYSTEM DOWNTIME, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Write2SQL and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party rights, or any unauthorized access to databases performed through your account.

12. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including but not limited to breach of these Terms. Upon termination, your right to use the Service ceases immediately. All provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability. We are not liable to you or any third party for any termination of your access.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Write2SQL operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association. You waive any right to participate in class action lawsuits or class-wide arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Write2SQL regarding the Service and supersede all prior agreements, representations, and understandings.
